ArtSpots Submission Agreement

You understand that all information, data, text, graphics, sound, music, software, messages, tags, or other materials ("Content"), whether publicly posted or privately transmitted, on the sister web sites ArtSpots.com (the "Service") are the sole responsibility of the person from whom such Content originated. This means that you, not ArtSpots (the "Company"), are entirely responsible for all Content that you upload, post, email, transmit or otherwise make available via the Service. ArtSpots does not control the Content posted via the Service and, as such, does not guarantee the accuracy, integrity, or quality of such Content. Under no circumstances will ArtSpots be liable in any way for any Content, including, but not limited to, and errors or omissions in any Content, or any loss or damage of any kind incurred as a result of the use of any Content posted, emailed, transmitted or otherwise made available via the Service.

You own your intellectual property and all rights reserved to it. ArtSpots does not claim ownership of Content that you submit for inclusion on the Service. For the purpose of allowing ArtSpots to make your Content available through the Service, you grant ArtSpots a non-exclusive, royalty-free license to reproduce, distribute, reformat, encode, store, transmit, and publicly display or publicly preform your Content. You understand that your Content may be combined with unrelated content, some of which you may consider offensive, indecent or objectionable. Please note that when you upload your Content, due to the nature of the Internet, third-parties are able to copy, distribute and display your Content, sometimes without your permission. ArtSpots can not be held liable in copyright claims of Content transferred off the Service. You are responsible for enforcing the copyright on your own Content. ArtSpots reserves the right to remove your Content from the Service at anytime for any reason and without notice.

ArtSpots reserves the right to revise the terms of this Agreement by updating this page. If the revised Agreement or alterations constitute a fundamental change in the scope or focus, determined by our sole discretion, in good faith and using common sense and reasonable judgement, you will be notified by your primary means of contact and resubmit to the policy before continuing access to the service.

This agreement shall be governed in all respects by the laws of the State of California without regard to its or any other jurisdiction's conflict of laws principles. The sole venue and jurisdiction for disputes arising from this agreement shall be the appropriate state or federal court located in San Jose, California, and you and ArtSpots both irrevocably agree to submit to the jurisdiction of such courts.

You agree to indemnify and hold ArtSpots and its subsidiaries, affiliates, officers, agents, employees, partners and licensers harmless from any claim or demand, including reasonable attorney's fees, made by any third party due to or arising out of Content that you submit, post, transmit or otherwise make available through the Service, your use of the Service, your connection to the Service, your violation of the Terms of Use, or your violation of any rights of another.
